This Agreement is entered into as of date it was accepted, by and between Glamic Inc, a Canadian incorporated company with its principal place of business located at 20 Bay Street, 11th floor, Toronto, Ontario, M5J2N8 (“Company”),
and
submitter and acceptor of this agreement residing at the address provided (“Affiliate”).
Whereas the Company desires to engage the Affiliate to promote Glamic Marketplace services and the Affiliate wishes to accept such engagement, subject to the terms and conditions set forth in this Agreement.
1.1. The Affiliate agrees to promote Glamic Services using any channels at their disposal or methods, e.g., social media, blogs, texting, word of mouth, etc.
1.2. The Affiliate will use unique tracking promotional code provided by the Company for tracking sales. Promotion Code be sent via email.
1.3 The affiliate will use this unique link to give to users to download the app will be provided via email.
1.4. Promotional code will give a discount to affiliate’s audience and provide a $20 off bookings. This coupon can be used unlimited by customers until Glamic makes it unavailable anymore.
1.5. We encourage you to get creative, share your stunning hair, nails & makeup looks on your stories or as a reel, take your followers along on your SPA Day or inspire them to treat themselves to the Glamic experience at home or at a near studio.
1.6. The Affiliate shall ensure all promotions are in compliance with applicable laws and regulations.
2.1. The Affiliate will be compensated via a percentage of sales per sale before applicable local sales tax.
2.2. Commissions are only earned on appointments competed and that are not refunded or charged back.
2.3. Payments will be made within first 5 business days of each month on a basis of appointment completions in the previous calendar month.
3.1. This Agreement shall commence on the Effective Date and continue for open duration until Company notifies affiliate of termination of this agreement or change of terms of this agreement such as percentage of sale, customer discount amount, app download link, and/or affiliate’s unique promotional code given to customers.
3.2. Either party may terminate this Agreement without any notice period via email, WhatsApp, or Instagram direct message.
3.3. Upon termination, all outstanding commissions will be paid to the Affiliate as per the terms outlined on the upcoming payout.
4.1. The Affiliate must disclose the nature of their promotional partnership with the Company.
4.2. The Affiliate is prohibited from making false or misleading statements about the Company or its products/services.
4.3. The Affiliate shall not engage in spamming or other offensive marketing practices.
5.1. The Company will work with the Affiliate to provide necessary promotional materials, app download links and unique discount coupon code to share with their audience.
5.2. The Company will track sales generated by the Affiliate’s efforts and report this data regularly via an email.
6.1. The Affiliate is granted a non-exclusive, non-transferable, revocable license to use the Company’s trademarks and branding for the purpose of this Agreement.
6.2. All intellectual property rights remain with their respective owners.
7.1. Both parties agree to keep any confidential information obtained during the term of this Agreement in strict confidence.
8.1. The Affiliate agrees to indemnify and hold harmless the Company against any claims arising from their promotion of [Product/Service].
9.1. The Company will not be liable for indirect, special, or consequential damages arising in connection with this Agreement.
10.1. This Agreement constitutes the entire understanding between the parties.
10.2. This Agreement may not be amended except in writing signed by both parties.
10.3. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force.
